Terms of Use
1. Agreement to These Terms
These Terms of Use (“Terms”) form a binding agreement between you and SEB Ventures, Inc. (“SEB,” “we,” “us,” or “our”) governing your access to and use of VALOREM, https://usevalorem.com, related applications, websites, features, subscriptions, and services (collectively, the “Services”). By creating an account, accessing or using the Services, or purchasing a subscription, you agree to these Terms and our Privacy Policy, Billing & Cancellation Policy, Valuation Disclaimer, and Acceptable Use Policy.
If you do not agree, do not use the Services. You must be at least 18 years old and legally capable of entering into a binding contract.
2. What VALOREM Is
VALOREM is software designed to help users research and evaluate automotive-part market information. Depending on the workflow, the Services may identify a part, review available market evidence, compare relevant examples, generate an estimated value range or related output, provide confidence or evidence information, and explain factors affecting a result.
VALOREM is not an appraiser, dealer, broker, mechanic, inspection service, title service, escrow service, insurer, financial adviser, legal adviser, or guarantor of any transaction.
3. No Guaranteed Value, Transaction, Fitment, or Condition
All valuations, ranges, confidence indicators, comparables, source links, recommendations, and explanations are informational estimates based on available evidence and automated analysis. Actual purchase, sale, trade-in, insurance, wholesale, auction, or resale values may differ materially.
You are solely responsible for verifying part identity, authenticity, ownership, legality, fitment, condition, completeness, shipping costs, taxes, fees, recalls, safety, defects, and transaction terms before acting. See the Valuation Disclaimer for additional limitations.
4. Accounts and Security
You must provide accurate information, maintain the confidentiality of your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity conducted through your account unless prohibited by applicable law.
We may require identity, email, payment, or anti-fraud verification. We may suspend access when reasonably necessary to investigate security, fraud, payment, abuse, or legal concerns.
5. Plans, Usage, and Service Limits
VALOREM may offer Free, Basic, Plus, Pro, or other plans. Current features, limits, prices, and allowances are those shown in the Services or at checkout at the time of purchase. Plan names and features may change prospectively.
Usage accounting may distinguish between new analyses, Market Refreshes, clarifications, research requests, retries, and other actions. The applicable in-product usage meter controls. Attempts to evade, manipulate, automate around, or defeat plan limits are prohibited.
Unless otherwise stated, unused allowances do not roll over between billing or usage periods.
6. Subscriptions and Payments
Paid plans may automatically renew on a recurring basis until canceled. Before you subscribe, the checkout flow will display the applicable price, billing frequency, and material subscription terms. By completing checkout, you authorize recurring charges to the payment method on file until cancellation or termination.
Payments are processed by third-party payment processors, currently expected to include Stripe. We generally do not receive or store your complete card number or card security code.
Billing, cancellation, upgrade, downgrade, payment-failure, and refund rules are further described in the Billing & Cancellation Policy, which is incorporated into these Terms.
7. User Content and Uploaded Materials
You retain ownership of photos, text, descriptions, documents, URLs, and other materials you submit (“User Content”). You grant us a limited, worldwide, non-exclusive license to host, process, reproduce, analyze, and transmit User Content only as reasonably necessary to operate, secure, improve, troubleshoot, and provide the Services, comply with law, and enforce these Terms.
You represent that you have the right to submit the User Content and that doing so does not violate law or third-party rights. Do not upload sensitive personal information that is unnecessary to the valuation task.
8. Third-Party Data, Links, and Services
VALOREM may rely on or link to third-party listings, websites, marketplaces, search results, AI/model providers, payment processors, infrastructure providers, and other external services. We do not control those third parties and do not warrant their availability, accuracy, legality, security, or continued existence.
A source being displayed or linked does not mean we endorse the source, seller, item, transaction, or listing.
9. Intellectual Property
The Services, VALOREM name and branding, software, workflows, interfaces, designs, documentation, and other proprietary materials are owned by or licensed to SEB Ventures, Inc. and are protected by applicable intellectual-property laws.
Except as expressly permitted, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, extract, scrape, mirror, create derivative works from, or commercially exploit the Services.
10. Feedback
If you provide ideas, suggestions, bug reports, or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback for any lawful purpose without compensation or obligation to you. This does not transfer ownership of your unrelated User Content.
11. Acceptable Use
You must comply with the Acceptable Use Policy. Among other things, you may not use VALOREM to facilitate fraud, theft, trafficking in stolen or counterfeit goods, unlawful transactions, abusive automated access, security attacks, reverse engineering, or attempts to bypass plan limits.
12. Service Changes and Availability
We may add, modify, suspend, or discontinue features, models, sources, integrations, or portions of the Services. We do not guarantee uninterrupted or error-free availability. We may perform maintenance, impose reasonable technical limits, or temporarily restrict access for security, legal, operational, or capacity reasons.
13. Suspension and Termination
We may suspend or terminate access for material violations of these Terms, nonpayment, fraud, abuse, security risk, unlawful activity, interference with the Services, or when required by law. Where reasonably practicable, we may provide notice and an opportunity to cure, but we are not required to do so when immediate action is reasonably necessary.
Termination does not erase obligations that by their nature should survive, including payment obligations, ownership provisions, disclaimers, limitations of liability, indemnification, and dispute-resolution terms.
14. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SEB VENTURES, INC. DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT ANY VALUATION, SOURCE, COMPARABLE, IDENTIFICATION, FITMENT, CONDITION ASSESSMENT, CONFIDENCE INDICATOR, OR RECOMMENDATION IS COMPLETE, CURRENT, ERROR-FREE, OR SUITABLE FOR YOUR PARTICULAR TRANSACTION.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEB VENTURES, INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION; OR LOSSES ARISING FROM A PURCHASE, SALE, LISTING, NEGOTIATION, PART FAILURE, FITMENT ISSUE, SOURCE ERROR, THIRD-PARTY CONDUCT, OR RELIANCE ON A VALOREM OUTPUT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) $100.
Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.
16. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless SEB Ventures, Inc., its affiliates, and their directors, officers, employees, and agents from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys’ fees arising from your unlawful use of the Services, your User Content, your violation of these Terms, or your infringement of third-party rights. This obligation does not apply to the extent a claim results from our own unlawful conduct where indemnification is prohibited by law.
17. Dispute Resolution; Individual Arbitration; Class-Action Waiver
Please read this section carefully. Before filing a formal claim, you and SEB agree to attempt in good faith to resolve the dispute informally for at least 30 days after written notice. Notices to SEB should be sent to support@usevalorem.com with the subject “Legal Dispute Notice.”
Except for qualifying small-claims matters, requests for emergency injunctive relief involving misuse of intellectual property or security, and matters that cannot lawfully be arbitrated, any dispute arising out of or relating to the Services or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules.
YOU AND SEB AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION, TO THE EXTENT PERMITTED BY LAW.
You may opt out of this arbitration agreement by emailing support@usevalorem.com within 30 days after first accepting these Terms, with the subject “Arbitration Opt-Out,” and including the email address associated with your VALOREM account.
If this arbitration section is found unenforceable as to a particular claim, that claim will be resolved in a court of competent jurisdiction, subject to Section 18.
18. Governing Law and Venue
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules, except to the extent federal law or another jurisdiction’s non-waivable consumer law applies. For disputes not subject to arbitration, you and SEB consent to the personal jurisdiction of state or federal courts located in Tennessee that have proper subject-matter and geographic jurisdiction.
19. Changes to These Terms
We may update these Terms prospectively. If a change is material, we will provide reasonable notice through the Services, email, or another appropriate method. Continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by law. If applicable law requires affirmative consent, we will request it.
20. Miscellaneous
If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, reorganization, financing, sale of assets, or by operation of law. These Terms and incorporated policies constitute the agreement between you and SEB regarding the Services unless a separate written agreement applies.
